I hold an LL.M. from Ain Shams University, along with Diplomas in International Commerce Law and Private Law. My practice spans corporate law, arbitration, regulatory compliance, and due diligence. - Advised a Foreign Investor on Investment Assessment and Restructuring: Assisted a foreign investor in evaluating the legal status of his investments in Egypt and developed a comprehensive restructuring plan to ensure robust governance and full compliance with Egyptian laws.
- Represented Shareholders in a Company Sale Transaction Valued at EGP 470 Million: Reviewed and negotiated the Share Purchase and Sale Agreement and Escrow Agreement to ensure the protection of sellers' rights. Engaged in strategic negotiations with the purchaser, securing timely fund disbursement and smooth transaction execution.
- Resolved an Agency Agreement Dispute for an Egyptian Pharmaceutical Company: Successfully represented and negotiated on behalf of an Egyptian pharmaceutical company in a dispute with a prominent pharmaceutical producer, achieving a favorable settlement.
- Negotiated and Drafted a Concession Agreement for a Marine Cargo Terminal at Damietta Port: Represented a consortium (Eurogate, Hapag-Lloyd, and Contship) in negotiating and drafting the concession agreement for the port's second terminal, ensuring compliance with applicable laws and addressing commercial interests.
- Conducted Due Diligence for a European Financial Institution: Led due diligence for a European financial institution to assess the legal standing of a borrowing company in Egypt. Reviewed the company’s compliance with local laws, governance structures, contracts, and financial liabilities. Identified legal risks and ensured the institution's interests were protected. Also reviewed the loan agreement and joint guarantee deed for regulatory compliance and alignment with the institution's objectives.
- Represented an Egyptian Company in a High-Value Arbitration: Represented an Egyptian company in an arbitration involving EGP 1 billion in compensation disputes, achieving a favorable award for the client.
- Assisted a Russian Company in Establishing a Branch in Egypt: Supported a Russian company in setting up its branch in Egypt and ensuring compliance with Egyptian laws to carry out activities related to the El-Dabaa nuclear power plant.
